    CORTESS encourages and permits links to Content on the Site.   • CHOICE OF LAW
    The Terms and Conditions shall be construed in accordance with the laws of Luxemburg, without regard to conflict of laws principles.
  • ENTIRE AGREEMENT
    The Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter.
  • NO AMENDMENT OR WAIVER
    The Terms and Conditions may not be amended except in writing signed by both parties and no waiver by either party shall be deemed a waiver of any preceding or subsequent breach or default, unless such a waiver is in writing and signed by an authorized representative of CORTESS.

CORTESS understands that your privacy is important to you. CORTESS is strongly committed to protecting your privacy and the personal information that you may provide to CORTESS as you access and use the materials on www.wic.global (the « Site »), including the contact page of the Site. In addition, information that you submit to CORTESS in response to an email request for information or other outreach from CORTESS, or through CORTESS’s employment application processes, will also be treated in accordance with this Privacy Policy. Conditions Générales de Vente

Article 1 : Définitions

Pour l’application des présentes conditions générales, on entend par « le Client » toute personne morale qui conclut un contrat dont l’objet est la vente de matériel informatique, en ce compris de logiciels, (« le Produit » ou « les Produits»), ou la vente de services (« le Service » ou « les Services »), avec CORTESS S.à.r.l. , nommé ci-après « CORTESS », dont le siège social est : Route d’Arlon 4 à L-8399 Windhof, Luxembourg, N° RCS : 10063022/0.

Article 2 : Opposabilité

Sauf dérogation écrite et signée par le Client et CORTESS, les présentes conditions générales régissent toutes les ventes entre CORTESS  et le Client à partir du 21 septembre 2015, et annulent et remplacent toute proposition ou contrat antérieur. Une dérogation à une disposition des présentes conditions générales n’infirme en rien les autres clauses de celles-ci, qui restent pleinement applicables.  Le Client déclare avoir pris connaissance et avoir accepté les présentes conditions générales.

Article 3 : Tarifs

Les tarifs de CORTESS sont seulement fournis au Client à titre indicatif. Seuls les prix des Produits et des Services mentionnés dans une offre écrite et personnellement adressée au Client, engagent CORTESS. La liste de prix des Produits et des Services de CORTESS ne peut être utilisée qu’avec l’autorisation écrite et préalable de CORTESS. Cette liste reste la propriété exclusive de CORTESS.

Article 4 : Commandes

Sauf dérogation écrite de la part de CORTESS, les commandes ne deviennent définitives qu’après envoi du bon de confirmation de commande par CORTESS  au Client. Aucune commande acceptée par CORTESS  ne pourra être annulée par le Client sans l’accord écrit et préalable de CORTESS.

Article 5 : Livraison des Produits et fourniture des Services

Les délais de livraison des Produits, ou de fourniture des Services sont indiqués à titre indicatif. En cas de retard de livraison ou de fourniture, quelle qu’en soit la cause, le Client ne pourra prétendre au paiement d’une indemnité, ni procéder à l’annulation de la commande, ou à la résiliation du contrat.

Article 6 : Contrôle de conformité des Produits – Transfert des risques

6.1 Les défauts de conformité qui existaient au moment de la livraison et que le Client pouvait raisonnablement constater, sont considérés comme ayant été immédiatement acceptés si le Client était présent lors de la livraison. Si le Client était absent lors de la livraison, ou si les Produits doivent être déballés ou montés par le Client lui-même, il doit avertir CORTESS  de ses éventuelles remarques par l’envoi d’une lettre recommandée adressée dans les 8 jours ouvrables à compter de la livraison. En cas de défaut de conformité d’un Produit, CORTESS  procèdera au remplacement du Produit défectueux dans les plus brefs délais.

6.2 Les risques sont transférés au Client même en cas de livraison franco de port ou franco domicile, dès la remise à l’expéditeur, au camionneur ou à la personne qui vient chercher les Produits, ceux-ci voyageant toujours aux risques du Client. Cette règle vaut également en cas de livraison partielle.

Article 7 : Obligations de CORTESS

Lorsque la vente a pour objet la fourniture d’un Service, CORTESS  ne sera tenue à l’égard du Client que d’une obligation de moyen.

Toute vente d’un service de maintenance par CORTESS  au Client fera l’objet de la conclusion d’un contrat de maintenance (« le Contrat de Maintenance ») entre le Client et CORTESS. Dans le cas où l’une des dispositions des présentes conditions générales contredirait l’une des dispositions du Contrat de Maintenance, celles du Contrat de Maintenance prévaudront sur les présentes conditions de maintenance,, celles du Contrat de la Maintenance prévaudront sur les présentes conditions.

Article 8 : Obligations du Client

Le Client s’engage à posséder des copies de secours de tous les systèmes sur lesquels CORTESS  doit intervenir, de même il possèdera des programmes antivirus installés et mis à jour. Les Produits faisant l’objet d’une licence, demeurent la propriété exclusive de leurs auteurs. Le Client est seul responsable de l’usage de ces Produits et du respect des obligations de licence y relatives. En aucun cas CORTESS  ne pourra être tenu responsable d’une quelconque violation des droits de licence par le Client.

Article 9 : Paiement & Clause de réserve de propriété

9.1 Sauf dérogation écrite de la part de CORTESS, toutes les factures sont payables au comptant sans escompte à la réception des Produits ou des Services. Un acompte de 40% sur la totalité du montant à facturer pourra être demandé au moment de la commande.

Toute facture non payée à l’échéance sera majorée de plein droit d’un intérêt de 12% l’an et sera augmentée d’une indemnité forfaitaire égale à 15% du montant dû avec un minimum de 150,00€ (cent cinquante euro).  Les traites ou quittances éventuellement émises par CORTESS  n’apportent ni novation ni dérogation à l’article 9.1.

9.2 Les Produits vendus demeurent la propriété exclusive de CORTESS jusqu’au paiement complet du prix de vente par le Client. En cas de non-paiement à leur échéance, CORTESS  se réserve le droit, sans mise en demeure préalable, de reprendre les Produits qui auraient été livrés. Par extension, CORTESS  continuera à jouir de cette réserve de propriété même si le Client a transformé les Produits livrés, et/ou cédés et/ou vendus à un tiers. Dans ce dernier cas, la créance sur le prix de la revente est automatiquement cédée à CORTESS.

Article 10 : Garantie des Produits – Garantie des Services

10.1 La garantie du Produit, de ses composants et de la main-d’œuvre est celle donnée par le fabriquant du Produit, à l’exclusion des frais éventuels supportés par le Client. Par la présente clause CORTESS  limite les droits du Client à l’égard de CORTESS, à une cession des droits de réclamation que CORTESS  possède envers le fabriquant desdits Produits. En aucun cas CORTESS  ne sera redevable d’une garantie dont la durée ou l’étendue serait supérieure à celle du fabriquant du Produit. En tout état de cause, la garantie ne couvrira pas les dommages résultant d’un usage non approprié, de l’usure normale, d’un traitement fautif ou négligent, ou de l’ajout de pièces supplémentaires pendant la période de garantie et qui ne serait pas effectué par CORTESS.

10.2 CORTESS  garantit ses installations et ses interventions software pendant une période de 14 jours calendrier, à compter de la date de prestation effective du service d’installation ou de l’intervention par CORTESS.

Article 11 : Responsabilité

11.1 En toute éventualité, et quelle que soit la cause du préjudice subi, la responsabilité de CORTESS sera limitée au montant du présent contrat.

11.2. La responsabilité de CORTESS sera exclue dans les cas suivants

– en cas d’inexécution de leurs obligations par des tiers auxquels des missions seraient assignées par le présent contrat ;

– en cas de « hacking » du réseau, ou de tout piratage interne ou externe du réseau ;

– en cas d’éventuels dommages directs ou indirects, tels que la perte d’exploitation, de fonctionnalités, ou la perte de données, encourus par le Client ou par un tiers.

11.3. Pendant toute la durée du présent contrat, ainsi qu’à son terme, quelle qu’en soit la raison ou la cause, CORTESS  ne sera aucunement responsable vis-à-vis du Client de tout inconvénient, tout dommage, ou tout frais dont aurait à souffrir le Client suite à toute requête de l’un de ses employés, ou d’un tiers. Le Client tiendra CORTESS  indemne de tout recours intenté par l’un de ses employés, ou par un tiers, quel que soit le bien-fondé de ce recours.

Article 12 : Force majeure

En cas de force majeure, CORTESS  se réserve le droit de suspendre l’exécution de ses obligations, ainsi que de toute commande, ou d’y mettre fin selon que l’événement fortuit constitue un obstacle temporaire ou définitif. Sont notamment considérés comme des cas de force majeure pour CORTESS , l’absence en tout ou en partie du personnel, les grèves, l’incendie, l’inondation, l’impossibilité d’occuper les ateliers ou les lieux de vente, la pénurie ou la non-livraison par les fournisseurs du Produit ou de ses composants nécessaire, l’impossibilité de transporter les Produits, le lock-out aussi bien dans l’entreprise de CORTESS que dans celles des propres fournisseurs de cette dernière, ou encore des troubles, émeutes, accidents, bris de machines, absence de moyens de transport ou de matériel, épidémies, ou toute autre cause indépendante de la volonté d’ CORTESS. Cette énumération n’est pas limitative.

 Article 13 : Résiliation

CORTESS  est en droit de résilier, en tout ou en partie, le contrat ou les commandes en cours avec le Client, avec effet immédiat et sans aucun dédommagement ni mise en demeure dans les cas suivants :

– un manquement quel qu’il soit du Client dans l’exécution de ses obligations vis-à-vis de CORTESS;

– la faillite, la cessation des paiements, le dépôt d’une requête de concordat ou de report ou de sursis de paiement ou toute autre situation similaire dans le chef du Client ;

– la cessation totale ou partielle, l’immobilisation, la liquidation volontaire ou judiciaire ou toute situation d’insolvabilité de l’entreprise du Client;

– l’existence de toute saisie pratiquée sur les avoirs, droits et créances du Client ou en cas de lettre de change protestée;

En cas d’inexécution par le Client de l’une des obligations mises à sa charge par les présentes conditions générales, l’intégralité des honoraires et des frais, d’avocats et de conseillers techniques, exposés par CORTESS , et directement ou indirectement causés par cette inexécution, seront intégralement supportés par le Client.

Les honoraires et frais, d’avocats et de conseillers techniques exposés par le Client dans le cadre de l’exécution de la présente convention ne pourront en aucun cas donner lieu à une indemnisation de CORTESS.

 Article 14 : Compétence – Droit applicable :

Seuls les tribunaux de l’arrondissement judiciaire de Luxembourg, sont compétents pour statuer sur tout litige, sur toute interprétation ou exécution des présentes conditions générales.

Le droit luxembourgeois est seul applicable aux présentes conditions générales entre CORTESS  et le Client. Si, en vertu d’une disposition légale d’ordre public ou de droit impératif, une des dispositions des présentes conditions générales était nulle ou non opposable au client, cette clause sera réputée non écrite, les autres dispositions resteront néanmoins d’application.

L’éventuelle nullité de l’une des dispositions du Contrat n’influence nullement la validité des autres clauses nonobstant la nullité de la clause contestée. Les parties mettront tout en œuvre de commun accord pour remplacer la clause nulle par une clause valable ayant un impact économique identique ou similaire à celui de la clause nulle. L’absence de mise en œuvre d’un droit ou la non-application d’une sanction par CORTESS   ne constitue en aucun cas l’abandon d’un droit.

General Terms and Conditions

Article 1: Definitions

For the purposes of these terms, the term « Customer » is understood as any legal person concluding a contract of which the object is the sale of computer equipment, including software, (« the Product » or « Products » ) or the sale of services (the « Service » or « Services »), with CORTESS S.à.rl., called hereafter “CORTESS”, whose registered office is:

Article 2: Enforceability

Unless written waiver signed by the Client and CORTESS, these general conditions govern all sales between CORTESS and the Client from September 21, 2015, and supersedes any proposal or prior agreement. A waiver of any provision of these terms does not invalidate the remaining provisions thereof, which remain fully applicable. The Customer declares to have read and accepted these terms and conditions.

Article 3: Prices

CORTESS prices are only provided to the Customer for indication purposes. Only the price of the Products and Services mentioned in a written offer and personally addressed to the Customer, engage CORTESS. The CORTESS price list of Products and services can only be used with the prior written authorisation from CORTESS. This list remains the exclusive property of CORTESS.

Article 4: Orders

Except written exemption from CORTESS, orders are not final until an order confirmation has been procured by CORTESS to the Customer. No order accepted by CORTESS can be cancelled by the Customer without the prior written consent from CORTESS.

Article 5: Delivery of Products and provision of Services

The delivery lead-time for Products or provision of Services are only indicative. Any delay in delivery, whatever the cause, does not entitle the Customer to claim a compensation whatsoever or payment of a compensation, nor to cancel the order or to terminate the contract.

Article 6: Control of Products Conformity – Risk Transfer

6.1 Lack of conformity that existed at the time of delivery and that the Customer could have reasonably noticed, are considered to have been immediately accepted in case the Customer was present during delivery. If the Customer was absent during delivery, or if the Products are to be unpacked and installed by the Customer himself, he must notify its possible remarks to CORTESS per registered letter within 8 working days from delivery onwards. In case of lack of conformity of a product, CORTESS will proceed with replacement of the defective product as soon as possible.

6.2 The risks are passed on to the Customer, even in case of free port or free house shipping, upon handover to the shipper, trucker or person picking up the Products, as they always travel at the Customer’s risk. This also applies in case of partial delivery.

Article 7: Obligations of CORTESS

When the sale is the provision of a service, CORTESS engages only an obligation of means towards the Customer.

Any sale of a maintenance service by CORTESS to the Customer, will be subject to contracting a maintenance agreement (the « Maintenance Agreement ») between the Customer and CORTESS. In the event that any provision of these terms contradict with any of the provisions of the Maintenance Agreement, the provisions of the Maintenance Contract will supersede.

Article 8: Obligations of the Customer

The Customer agrees to have backup copies of all the systems on which CORTESS must intervene, so will he also possess installed and updated antivirus programs. Products subject to a license, remain the exclusive property of their authors. The Customer is solely responsible for the use of these Products and the compliance with license obligations relating thereto. In no event CORTESS can be held responsible for any license rights violation by the Customer.

Article 9: Payment & Property rights

9.1 Unless otherwise agreed by CORTESS in writing, all invoices are payable in their entirety, without discount on receipt of the Products or Services. CORTESS is entitled to request a 40% down payment of the total amount that is to be invoiced, upon reception of the Customer’s order.

Any invoice not paid when due, shall rightfully be increased with a 12% interest per annum and with a fixed one time indemnity which equals 15% of the amount due with a minimum of € 150,00 (one hundred and fifty euro). Drafts or receipts issued by CORTESS bring neither novation nor derogation to Article 9.1.

9.2 Products sold remain the exclusive property of CORTESS until full payment of the sale price is performed by the Client. In case of non-payment at maturity, CORTESS reserves the right, without prior notice, to take back the Products that would have been delivered. By extension, CORTESS will continue to enjoy that same property reserve if the Customer has processed the delivered Products, and/or transferred and/or sold to a third party. In the latter case, the debt on the price of resale is automatically transferred to CORTESS.

 

Article 10: Product Guarantee – Services Guarantee

10.1 The guarantee of the product, its components and labour is that given by the manufacturer of the product, excluding any costs borne by the Client. By this clause CORTESS limits the Customer’s rights toward CORTESS, to the transfer of CORTESS’ claim rights toward the manufacturer of the Products. In no event CORTESS can be held liable for a guarantee that exceeds in terms of duration or scope, the guarantee from the product manufacturer. In any case, the guarantee does not cover damage resulting from inappropriate use, normal wear and tear, faulty or negligent treatment, or from adding additional parts during the guarantee period would the latter not have been done by CORTESS.

10.2 CORTESS guarantees its software installation and interventions for a period of 14 calendar days, as of the effective date of the installation service’ delivery or the intervention by CORTESS.

Article 11: Responsibility

11.1 In any event, and whatever the cause of the injury suffered, CORTESS responsibility will be limited to the amount of the present contract.

11.2. CORTESS’ responsibility will be excluded in the following cases

– non-performance of obligations by third parties to whom tasks are assigned under this contract;

– « hacking » of the network, or any internal or external piracy the network;

– In the event of any direct or indirect damage such as operating loss, loss of functionality or data incurred by the Customer or a third party.

11.3. During the term of this contract, as well as an end, for whatever reason or cause, CORTESS cannot be held liable toward the Client for any inconvenience, damage or cost which the Customer would suffer due to any request of any of its employees, or a third party. The Customer will preserve CORTESS from any claim by one of its employees, or a third party, regardless whether it is legitimate or not.

Article 12: Force majeure

In case of force majeure, CORTES reserves the right to suspend performance of its obligations, and any order, or terminate it by chance that the event is a temporary or permanent obstacle. Are considered as force majeure for CORTESS, lack all or part of the staff, strikes, fire, flood, unable to hold workshops or places of sale, shortages or non-delivery by suppliers of the product or its components needed, the inability to transport the Products, the lockout CORTESS both in the company and in those specific suppliers of the latter, or disorder, riots, accidents, machinery breakdown, lack of transport or equipment, epidemics, or other causes beyond the control of CORTESS. This list is not exhaustive.

Article 13: Termination

CORTES is entitled to terminate, in whole or in part, the contract or pending orders with the Client with immediate effect and without compensation or demand in the following cases:

– Breach whatsoever of the Customer in performance of its obligations vis-à-vis CORTESS;

– Bankruptcy, suspension of payments, the filing of a request concordat or postponement or suspension of payments or other similar situation in the head of the Customer;

– The total or partial separation, immobilization, voluntary or compulsory liquidation or any situation of insolvency of the Customer’s business;

– The existence of any seizure effected on the assets, rights and claims of the Customer or in case of bill of exchange protested;

In case of breach by the Customer of any of the obligations imposed upon it by these terms and conditions, all the fees and expenses, of lawyers and technical advisers, incurred by CORTESS, and caused directly or indirectly by such failure will be borne entirely by the Client.

The fees and expenses, of lawyers and technical advisers incurred by the Customer in connection with the execution of this Agreement shall in no case give rise to compensation of CORTESS.

Article 14: Jurisdiction – Governing Law:

Only the courts of the judicial district of Luxembourg, have jurisdiction to rule on any dispute over any interpretation or execution of these general conditions.

The Luxembourg law is applicable to these General Terms and Conditions between CORTESS and the Client. If, under a legal provision of public policy or mandatory law, any provision of these terms was void or unenforceable to the Customer, that provision shall be deemed unwritten, all other provisions will remain in force nonetheless.

The possible invalidity of one provision of the Agreement does not affect the validity of the remaining provisions notwithstanding the invalidity of the disputed clause. The parties will strive to mutual agreement to replace the invalid provision by a valid clause having the same or similar economic impact to that of the invalid provision. The lack of implementation of a right or not applying a sanction by CORTESS not constitute any abandonment of a right.
